Review before launch. These terms were drafted for a Texas-based IT staffing and software development business and cover website use only. They are not legal advice. Have counsel review them — particularly the liability cap, the dispute resolution clause and whether you want arbitration — and confirm the effective date before publication.
1. Agreement to these terms
These Terms & Conditions form an agreement between you and JSP IT Services (“JSP”, “we”, “us”), of 12800 Westridge Blvd, Suite 200, Frisco, TX 75035, United States. By accessing or using jspitservices.com (the “site”) you agree to them. If you do not agree, please do not use the site.
2. Who may use the site
You must be at least 18 years old and able to form a binding contract. If you use the site for an organisation, you confirm you are authorised to accept these terms on its behalf, and “you” includes that organisation.
3. The site is information, not an offer
The site describes our services in general terms. Nothing on it is an offer capable of acceptance, a quotation, a guarantee of availability, or a promise of any particular result, placement or timescale. Descriptions of services, industries and technologies are illustrative.
4. Services are governed by a separate agreement
Any work we perform for you is governed by a signed agreement — such as a master services agreement, statement of work or staffing agreement — covering scope, fees, timelines, confidentiality, intellectual property and liability. If anything in these terms conflicts with that signed agreement, the signed agreement prevails in respect of the services. Nothing on this site varies it.
5. No professional advice
Content on the site, including anything about technology, AI adoption, cloud migration or hiring, is general information. It is not professional, legal, financial or technical advice for your situation and you should not act on it without advice tailored to you.
6. Acceptable use
You agree not to:
- Use the site unlawfully, or for any fraudulent or harmful purpose
- Submit false information, impersonate anyone, or misrepresent your association with a person or organisation
- Upload or transmit malware, or attempt to gain unauthorised access to the site, its servers or connected systems
- Scrape, harvest or systematically extract content or contact details, or use automated means to access the site except for standard search engine indexing
- Interfere with the operation of the site, including by placing undue load on it
- Use our contact or application forms to send unsolicited commercial messages
- Reverse engineer or copy any part of the site except as these terms allow
7. Job applications and submissions
If you apply for a role or send an enquiry, you confirm the information you give is accurate and that you are entitled to share it. Do not send confidential information belonging to a current or former employer, or sensitive personal information we have not asked for.
You grant us a non-exclusive, royalty-free licence to store, review and share your application materials for recruitment purposes, including sharing your profile with a client for a role you have agreed to be put forward for. We handle this information as described in our privacy policy. Submitting an application creates no employment relationship and no obligation on us to respond, progress or place you.
If you send us an unsolicited idea or suggestion, you agree we may use it without obligation, confidentiality or compensation. Please do not send us ideas you consider confidential or proprietary.
8. Intellectual property
The site and its content — text, graphics, layout, design and code — are owned by JSP IT Services or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable licence to view the site for your own business or job seeking purposes. You may not reproduce, republish, distribute, modify, or create derivative works from it without our written permission, except that you may print or save individual pages for your own reference.
“JSP IT Services” and our logo are our marks. Third-party names and marks on the site — including cloud platforms, ERP and CRM products — belong to their respective owners and are used for identification only. Their appearance does not imply endorsement, partnership or certification unless we say so explicitly.
9. Third-party links and services
The site links to third-party sites and relies on third-party services for forms and analytics. We do not control them and are not responsible for their content, practices or availability. Your use of a third-party service is governed by that provider’s terms.
10. Availability and changes
We may change, suspend or withdraw the site, or any part of it, at any time without notice. We do not guarantee the site will be available uninterrupted or error free, and we may restrict access for maintenance or security.
11. Disclaimer of warranties
The site is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the site will be accurate, complete, current, secure or free of viruses. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law, neither JSP IT Services nor its officers, employees or contractors will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost business, lost data or loss of goodwill, arising out of your use of or inability to use the site, even if we have been advised such damages are possible.
Our total aggregate liability arising out of or relating to the site will not exceed one hundred US dollars (US$100). This limit does not apply to liability that cannot be excluded by law, and it does not affect liability under a separate signed services agreement, which has its own terms.
13. Indemnification
You agree to indemnify and hold harmless JSP IT Services and its officers, employees and contractors from any claim, loss, liability or expense, including reasonable legal fees, arising from your misuse of the site, your breach of these terms, or your violation of any law or third-party right.
14. Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@jsp-its.com; if it is not resolved within 30 days, either party may proceed. You and we agree to the exclusive jurisdiction of the state and federal courts located in Collin County, Texas, and waive any objection to venue there.
15. Electronic communications
When you use the site or email us, you consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that a communication be in writing.
16. General
If a provision of these terms is held unenforceable, the rest remain in force. Our failure to enforce a right is not a waiver of it. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Together with our privacy policy, these terms are the entire agreement between us regarding the site.
17. Changes to these terms
We may revise these terms at any time by posting the revised version here and updating the date above. Material changes take effect 30 days after posting. Continued use of the site after that means you accept the revised terms.
